Terms of Service

1. Acceptance

These Terms of Service ("Terms") govern your access to and use of Videlic (the "Service"), operated by Videlic ("we", "us"). By accessing or using the Service, you agree to these Terms. If you use the Service on behalf of an organization, you accept these Terms on its behalf. If you do not agree, do not use the Service.

2. The Service

Videlic reviews AI coding-agent sessions and reports what an agent changed and whether the work can be trusted. The Service includes our website, the web dashboard, the agent hook you install, and integrations with third-party developer platforms such as GitHub. We may add, change, or remove features over time.

3. Accounts

You must provide accurate information when you create an account and keep it current. You are responsible for activity under your account and for keeping your credentials secure. Contact us at hello@videlic.dev promptly if you believe your account has been accessed without authorization.

4. Acceptable use

You agree not to:

  • use the Service to break any law or infringe anyone’s rights;
  • upload malicious content, or attempt to gain unauthorized access to the Service or other users’ data;
  • interfere with, disrupt, or place an unreasonable load on the Service or its infrastructure;
  • reverse-engineer, decompile, or disassemble the Service, except to the extent the law allows;
  • resell, sublicense, or redistribute the Service without our written permission.

5. Your content and data

You keep ownership of the session content and other data you submit to the Service ("Your Content"). You grant us a limited, worldwide license to host, process, and analyze Your Content solely to provide and improve the Service for you. We handle Your Content as described in our Privacy Policy, including:

  • analyzing your agent sessions to produce reports and verdicts;
  • reading code changes and pull-request details from the repositories you connect;
  • redacting secrets and credentials we detect before any content is sent for AI analysis.

We do not use Your Content to train third-party AI models. You can export your data or delete your account at any time from your settings.

6. Subscriptions and billing

Paid plans are billed in advance, monthly or annually, through Paddle, our merchant of record; Paddle’s terms apply to payment processing. Fees are non-refundable except where required by law. We may change our prices with at least 30 days’ notice. If a payment fails, we may suspend paid features until it is resolved.

7. Free plan

We offer a free plan, provided "as is" and without uptime or support commitments. We may change or limit the free plan at any time.

8. Intellectual property

The Service — including its software, design, and content — is owned by Videlic and protected by intellectual-property laws. These Terms do not grant you any right to our trademarks or branding. Your Content remains yours.

9. Third-party services

The Service connects to third-party platforms (such as GitHub) and relies on third-party providers (such as Anthropic for AI analysis and Paddle for payments). Your use of those services is governed by their own terms and policies, and we are not responsible for them.

10. Disclaimer of warranties

The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Videlic’s reports are meant to support your review and judgment — they do not replace your own review of code before you ship it.

11. Limitation of liability

To the maximum extent permitted by law, Videlic will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim and US $100.

12. Indemnification

You agree to indemnify and hold Videlic harmless from claims, damages, and costs arising out of your misuse of the Service, your violation of these Terms, or your infringement of any third party’s rights.

13. Termination

You may stop using the Service and delete your account at any time from your settings. We may suspend or terminate your access if you breach these Terms or use the Service in a way that risks harm to others or to the Service. When your account is closed, we delete the associated data as described in our Privacy Policy.

14. Governing law

These Terms are governed by the laws of the jurisdiction in which Videlic is established, without regard to its conflict-of-laws rules. To the extent permitted by law, disputes will be handled by the courts of that jurisdiction, except where applicable law preserves your right to bring a claim where you live.

15. Changes

We may update these Terms from time to time. If we make material changes, we will notify you by email or an in-product notice. Your continued use of the Service after an update means you accept the revised Terms.
